As part of its active participation towards the development of managers and leaders in Malta, the Malta Institute of Management (MIM) has announced the publication of a book on the personal liability of company directors, managers and secretaries, ‘Responsibilities of Officers of a Limited Liability Company’ co-authored and edited by Robert Attard and written by a team of specialists which includes Andrew Borg Cardona, Kris Borg, David Fabri, Corinne Gatt, Nicolette Spiteri Bailey and Jotham Scerri-Diacono. The book’s foreword is by Andrew Muscat.

This book expands on the area of directors’ duties by comprehensively dealing with a subject of growing importance – that of the personal liability of directors. The book has been written by a number of contributors who possess a wealth of knowledge and understanding of the subject and who successfully blend a practitioner’s approach with academic finesse and analysis. Collectively, they offer an interesting and thought-provoking insight into some of the more intricate areas of the law regulating the duties of directors. Directors are loaded with responsibility. As ignorance of the law is no excuse, directors need to be aware of the existence, and extent, of their obligations at law. This publication will be of interest not only to practitioners and academics, but also to directors who wish to be aware of their duties and potential liabilities at law.
This is the third book which Robert Attard has produced for MIM. Robert’s ‘Principles of Maltese Tax Law’ (MIM 2008) is already considered to be an authoritative text on tax law. The Courts of Malta have referred to ‘Principles of Maltese Tax Law’ in a number of decisions (more recently Ciantar v. Kummisarju tat-Taxxi Nterni). Robert is Director Tax Services at EY and an Editorial Board Member Lexis-Nexis Butterworths (EU Tax Tracker Project). Robert has served as Visiting Professor at the University of Ferrara, is a tenured visiting lecturer at the University of Malta and has paid lecturing/speaking visits at Queen Mary (University of London), CTL (University of Cambridge), Salerno (with Wirtshaftsuniversitat Wien and Naples II) and the University of Palermo (PhD Program on Human Rights jointly held with the Brussels Academy of Legal Theory). He contributed to Studies in the History of Tax Law, Volume 4 (an initiative of CTL, Faculty of Law, University of Cambridge) and Legal Remedies in EU Tax Law (I.B.F.D). He has argued cases at all levels some of which involved ‘Article 13 type’ provisions’. Robert was a panelist at the 2010 GREIT Conference, Taxation and Human Rights in Europe and the World (a joint initiative of the European University Institute, Johannes Kepler University of Linz and the Institute for Austrian and International Tax Law, Vienna). Robert is Faculty Academic Advisor within the Faculty of Laws of the University of Malta.
